Terms of Service
Entity: Grex Labs LLC, a Wyoming LLC, d/b/a The Flock Effective date: August 30, 2026 · Version: 2026-08-v1
Welcome to The Flock. These Terms of Service ("Terms") are a binding contract between you and Grex Labs LLC, a Wyoming limited liability company doing business as "The Flock" ("The Flock," "we," "us," or "our"). They govern your access to and use of our mobile application, our website theflock.co, our community chats and channels, and any related services (together, the "Platform"). By creating an account, submitting an application, or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
PLEASE READ SECTIONS 11 (Locations, Housing & Discount Codes), 12 (Travel – Our Limited Role), 13 (Disclaimers), 14 (Limitation of Liability), and 21 (Arbitration & Class-Action Waiver) CAREFULLY. They limit our liability and affect how disputes are resolved.
1. Who We Are and What We Provide
The Flock is a private, application-based community and information platform for vetted, experienced remote professionals and travelers. Our core service is the community itself.
What your membership fee pays for (the "Core Membership Services"):
- Membership in the vetted Flock community.
- Access to our mobile/web application.
- Access to member community channels (including WhatsApp groups we administer).
- The ability to join member group stays ("Flock Months") when we organize them.
Discretionary extras. We may, from time to time, also offer additional features and benefits — for example city playbooks and local intelligence, destination vetting help, suggested housing options, negotiated discount codes/rates with third-party providers ("Perches"), City Locals, community events, or retreats. These are provided at our sole discretion, are not part of the Core Membership Services, and may be added, changed, or discontinued at any time without notice or refund. We do not commit to any particular number, frequency, or destination of Flock Months in any membership term.
What we are NOT:
- We are NOT a travel agency, tour operator, or seller of travel, and we do NOT provide, own, operate, control, or resell accommodations, coworking spaces, flights, transportation, tours, insurance, or experiences.
- When you book or use any third-party service — including with a discount code we provide — your contract is solely between you and that provider. We are not a party to it.
- You choose where and when you travel and what to book. We may help vet or suggest a destination or option, but we do NOT guarantee its safety, availability, price, quality, or suitability.
2. Eligibility
- You must be at least 18 years old and able to form a binding contract. Certain activities may require you to be 21+.
- Membership is by application and is granted at our sole discretion. We may accept, decline, waitlist, or revoke any application or membership for any lawful reason, in our sole and absolute discretion.
- You agree to provide accurate, current, and complete information during application, screening, and onboarding, and to keep it updated. Providing false or misleading information may result in denial or revocation of membership and forfeiture of fees.
- Upon request, you may be required to provide government-issued identification (such as a passport) to verify your identity.
3. Accounts and Security
You are responsible for all activity under your account and for keeping your credentials confidential. Notify us immediately at community@theflock.co of any unauthorized use. We may suspend or terminate accounts we reasonably believe are compromised, fraudulent, or in violation of these Terms.
4. Membership and Fees
Access to the Core Membership Services requires a paid annual membership. Joining a Flock Month is a benefit of membership — there is no separate trip fee paid to us; you arrange and pay for your own flights, housing, coworking, and experiences directly with each provider.
Everyone holds the same level of membership. What differs is your "Lifetime Annual Rate" — the annual price in effect when you joined, which then applies to each yearly renewal for as long as you remain continuously a member. The current rate for new members is displayed at checkout and at theflock.co, and may change over time for new joiners; your own rate is always shown at checkout and in your Membership Area. For clarity: the Lifetime Annual Rate is a recurring yearly price, not a one-time fee, and it is conditioned on continuous membership — if your membership lapses, is cancelled, or is terminated, the rate is not reserved, and you re-apply and re-join at the then-current price.
- Fees are quoted in U.S. dollars, billed annually, and are due at purchase. You authorize us and our payment processor (Stripe) to charge your selected payment method.
- Your membership is personal to you and non-transferable except as we expressly permit in writing.
- Amounts you pay to third parties (housing, flights, coworking, experiences) are governed by those third parties' own terms and are not paid to or refundable by us.
4.1 Auto-Renewal
Your membership automatically renews for successive one-year terms at your locked rate, unless you cancel before the renewal date. Before each annual renewal, we will send you a reminder approximately thirty (30) days in advance identifying the price, the renewal date, and how to cancel. You may cancel at any time, self-serve, through the web Membership Area (a prominent cancellation link is available on your billing screen) or by emailing community@theflock.co; cancellation stops the next renewal.
4.2 Refund and Cancellation Policy
- 14-day refund window — join and each renewal: You may cancel within fourteen (14) days of your initial membership purchase, or of any annual renewal charge, for a full refund of that charge — provided you have not attended or joined a Flock Month in that membership term. This window also satisfies the EU/UK consumer cooling-off right.
- After 14 days: the yearly membership fee is non-refundable for that term. You may cancel at any time to stop the next renewal; your access continues through the end of the paid term, and we do not pro-rate or refund the remainder.
- Coming back: if you cancel and later want to return, you re-apply (membership is application-only) and re-join at the then-current price; a prior locked rate is not reserved once you leave.
- Removal for cause: if you are removed under the Code of Conduct, you may forfeit the remaining term without refund where permitted by law; re-admission is case-by-case at our sole discretion.
- Third-party costs (housing, flights, coworking, experiences) are never refundable by us and are governed by each provider's own terms.
5. Electronic Communications Consent
By creating an account or using the Platform, you consent to receive communications from us at the contact details you provide, including emails, in-app messages, push notifications, SMS/text messages, and messages over third-party messaging apps such as WhatsApp. Message and data rates may apply. You may opt out of non-essential marketing messages at any time; some operational messages are necessary to provide the Platform.
6. Community Chats and Member Communications
We provide community chats and channels (in the app and via tools such as WhatsApp) so members can connect. You are solely responsible for what you post. We do not pre-screen, endorse, or adopt as our own any member content or statements, and we are not responsible for communications exchanged between members, including any exchanged outside our official channels. We may, but are not obligated to, monitor, moderate, remove content, or remove you from any chat (including alumni channels) for conduct that violates these Terms or our Code of Conduct.
6.1 Protection of Member Content; No Screenshots
To protect members' privacy, you agree not to screenshot, screen-record, photograph, or otherwise capture or redistribute other members' profiles, photos, messages, or other content from the Platform. Our app detects screen-capture events and records them; repeated capture may result in your account being locked or removed, in our discretion. This is a material term.
7. Community Rules and Code of Conduct
Your membership is also governed by our Membership & Community Agreement and Code of Conduct, incorporated into these Terms by reference. You agree to treat members, locals, partners, and staff with respect, and you agree not to:
- Harass, threaten, discriminate against, or harm any person.
- Share other members' personal information, photos, or communications without consent.
- Use the community or member data for unsolicited marketing, recruiting, or commercial solicitation without our written permission.
- Engage in illegal activity, or behavior that endangers the safety or reputation of the community.
We may issue warnings, suspend, or permanently remove members who violate these rules, without refund where permitted by law, in our sole discretion.
8. User Content and Media
You may post bios, photos, recommendations, and other content on the Platform, and add content to shared spaces we provide for Flock Months (such as shared drives or albums) (together, "User Content"). You retain ownership of your User Content. You grant us a perpetual, worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, reproduce, adapt, and use (a) your User Content, wherever added, and (b) photos, video, and audio captured during any Flock activity, whoever captured them, in each case to operate, promote, and improve the Platform and The Flock, including on our website and social media, without compensation or further approval. This license is irrevocable as to anything we have already published or produced. You represent that you have the necessary rights and permissions for anything you upload, including from any person appearing in it. We may remove User Content that, in our judgment, violates these Terms or may harm the community or our partners. Requests regarding featured use of your likeness: community@theflock.co.
9. Acceptable Use
You agree not to misuse the Platform, including by scraping, reverse-engineering, introducing malware, circumventing access controls, infringing intellectual property, or interfering with the Platform's operation or security.
10. Confidentiality and Non-Circumvention
As a member you may gain access to confidential or proprietary information, including negotiated rates, discount codes, partner contacts, city playbooks, and member information. You agree:
- Not to share discount codes, negotiated rates, or member contact information with non-members, or use them outside your own personal membership use.
- Not to use the community, partner relationships, or member data to compete with us, to solicit our partners or members for a competing service, or to circumvent us with a partner we introduced you to.
11. Locations, Housing, and Discount Codes
This section reflects how The Flock actually operates: members pick destinations; we help vet and suggest options and negotiate discounts; members contract directly with providers.
- Member-chosen destinations: You decide where and when to travel. Any vetting, rating, or suggestion we provide about a location is informational only and not a guarantee of safety, legality, accuracy, or suitability.
- Suggested housing: We may suggest or share housing options. We do not provide, inspect, insure, or stand behind any accommodation. Your booking and stay are governed solely by the host/provider's terms.
- Discount codes and negotiated rates ("Perches"): codes and rates we share are a convenience. We do not guarantee that any code will work, remain available, be honored, or represent the lowest price, and we are not responsible if a provider changes, withdraws, or declines to honor a code or rate. Any resulting transaction is solely between you and the provider.
- Coworking and experiences: the same applies to coworking spaces, tours, and experiences we mention or help arrange discounts for.
- Affiliate links: some links we share (for example, Viator experiences) are affiliate links, meaning we may earn a commission if you book through them, at no extra cost to you. Using them is optional, and your transaction is solely with the provider.
12. Travel – Our Limited Role and Your Responsibilities
You are solely responsible for your own travel decisions and safety. In particular:
- You are responsible for your bookings, payments, visas, passports, vaccinations, health, and compliance with local laws.
- You must obtain and maintain comprehensive travel and medical insurance (covering personal injury, medical expenses, evacuation/repatriation, and trip cancellation) for any trip. We may require proof of insurance to participate in a Flock Month. We are not obligated to cover any costs on your behalf; if we do, you agree to reimburse us promptly.
- We are not responsible for the acts, omissions, or conduct of other members, locals, hosts, or providers, whether during a Flock Month, an event, or otherwise.
13. Disclaimers
THE PLATFORM AND ALL CONTENT, COMMUNITY FEATURES, AND INFORMATION (INCLUDING CITY PLAYBOOKS, LOCATION VETTING, AND DISCOUNT CODES) ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION IS ACCURATE, COMPLETE, OR CURRENT.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREX LABS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR PERSONAL INJURY/WRONGFUL DEATH, ARISING OUT OF OR RELATING TO THE PLATFORM, ANY FLOCK MONTH OR EVENT, ANY THIRD-PARTY PROVIDER, OR THE CONDUCT OF ANY OTHER MEMBER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless Grex Labs LLC and its members, managers, officers, employees, and contractors from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your User Content, your participation in any Flock Month or event, your dealings with third-party providers or other members, your conduct, or your violation of these Terms or any law.
16. Intellectual Property
The Platform, The Flock name and logo, and all related content (excluding User Content) are owned by or licensed to us and protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Platform for your personal, non-commercial membership use.
17. Suspension and Termination
You may stop using the Platform at any time and cancel per the Refund and Cancellation Policy. We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms or any conduct we reasonably believe is harmful to the community, us, or others, including conduct that occurs outside a Flock Month or event. In the event of removal for cause, you are not entitled to any refund except as required by law. Sections that by their nature should survive termination (including Sections 8, 10, 12–15, 18, 20–23) will survive.
18. Communications After Termination
If your membership is terminated, you agree to direct further communications to our designated representative, and not to contact other members to interfere with our business relationships or to solicit statements adverse to us. Nothing here prevents you from communicating for personal or social purposes unrelated to a dispute with us, or from consulting legal counsel.
19. Changes to the Platform and These Terms
We may modify the Platform or these Terms at any time. Each version of these Terms carries a version number and effective date. If we make material changes, we will provide reasonable advance notice (for example by email or in-app notice) and, where required by law or where the change materially affects your rights or payments, we will ask you to affirmatively accept the updated Terms in the app or Membership Area before or upon your next use or renewal. Your continued use after non-material changes take effect constitutes acceptance. If you do not agree, stop using the Platform and cancel per Section 4.2.
20. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules, and applicable U.S. federal law. Subject to Section 21, the state and federal courts located in Laramie County, Wyoming will have exclusive jurisdiction, and you consent to venue there.
21. Dispute Resolution – Arbitration and Class-Action Waiver
This section affects your legal rights.
Before starting arbitration, the parties agree to attempt in good faith to resolve any dispute through direct negotiation, and, if unresolved within forty-five (45) days, through mediation administered by the American Arbitration Association (AAA). Any dispute not resolved will then be settled by binding individual arbitration administered by the AAA under its Consumer Arbitration Rules, seated in Laramie County, Wyoming or conducted remotely. YOU AND THE FLOCK WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You may opt out of arbitration within thirty (30) days of first accepting these Terms by emailing community@theflock.co. Either party may bring an individual claim in small-claims court where eligible. The prevailing party may be entitled to recover reasonable attorneys' fees and costs to the extent permitted by law.
22. Time Limit on Claims
To the extent permitted by law, any claim or cause of action arising out of or related to the Platform or these Terms must be filed within ONE (1) YEAR after it arose, or it is permanently barred.
23. General
- Entire Agreement: these Terms, plus the Privacy Policy, Membership & Community Agreement, Liability Waiver, and any posted policies, are the entire agreement between you and us.
- Severability: if any provision is unenforceable, the rest remains in effect.
- No Waiver: our failure to enforce a provision is not a waiver.
- Assignment: you may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force Majeure: we are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, strikes, epidemic or pandemic, public-health emergencies, government action, travel restrictions, or utility or carrier failures.
