Assumption of risk, release, and indemnity for community travel and events

Entity: Grex Labs LLC, a Wyoming LLC, d/b/a The Flock Effective date: August 30, 2026 · Version: 2026-08-v1

In exchange for being permitted to participate in any The Flock community activity — including any and all "Flock Months," group stays, meetups, events, dinners, tours, or retreats (such as "Flock Fest"), and any other in-person or online activity organized, promoted, or facilitated by Grex Labs LLC, d/b/a "The Flock," whether occurring now or at any time during my membership — I agree to the following. This Release applies to every Flock activity I participate in for as long as I am a member, without the need to sign again for each activity. This is a legal release of liability. Read it carefully.

1. Nature of The Flock's Role

I understand and agree that:

  • The Flock is a membership community and information platform. It is NOT a travel agency, tour operator, or seller of travel, and it does not own, operate, or control accommodations, transportation, coworking spaces, restaurants, tours, or experiences.
  • Any flights, housing, coworking, insurance, tours, or experiences are provided by independent third parties under separate contracts to which The Flock is not a party.
  • The Flock does not supervise, control, or take responsibility for the conduct of other members, locals, hosts, vendors, or any third party.

2. Assumption of Risk

I understand that travel and group activities involve inherent and other risks, and I voluntarily assume all such risks, whether known or unknown, including but not limited to:

  • Illness (including infectious disease), injury, disability, or death.
  • Accidents during transportation, walking tours, pub crawls, water activities, sports, or other events.
  • Crime, theft, loss of or damage to property, and acts of other participants or third parties.
  • Foreign travel risks: unfamiliar laws, political instability, civil unrest, terrorism, natural events, differing safety/health standards, and limited access to medical care.
  • Trip changes, delays, cancellations, or disruptions, including those caused by third parties or events beyond anyone's control.
  • Communicable illness: group and communal settings carry an inherent risk of exposure; The Flock cannot guarantee a disease-free environment, and I assume that risk.
  • Other members: the conduct of other members and participants is outside The Flock's control, and I assume the risk of interpersonal conflict and the acts or omissions of other members.

I confirm I am physically and mentally fit to participate, and that I am responsible for assessing whether any activity is appropriate for me.

3. Release and Waiver of Claims

To the maximum extent permitted by law, I, on behalf of myself and my heirs, family, executors, administrators, and assigns, RELEASE, WAIVE, and DISCHARGE Grex Labs LLC and its members, managers, officers, employees, contractors, City Locals, and volunteers (the "Released Parties") from any and all claims, demands, liabilities, damages, costs, or expenses of any kind arising out of or related to my participation in any Flock activity or my dealings with any third-party provider or other member, INCLUDING CLAIMS BASED ON THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES, except to the extent such a release is prohibited by law (for example, for gross negligence or willful misconduct).

3A. Release of Claims Arising from Other Members

To the maximum extent permitted by law, I release and waive any claim against the Released Parties arising from interpersonal conflict between members, disagreements over shared arrangements, social exclusion, or emotional distress arising from the community or communal-living experience. This release does not apply to claims arising directly from the Released Parties' own intentional misconduct.

4. Indemnification

I agree to indemnify, defend, and hold harmless the Released Parties from any claims, losses, damages, or expenses (including reasonable attorneys' fees) brought by me or any third party arising from my participation, my conduct, my violation of any law or of The Flock's rules, or any damage or injury I cause.

5. Insurance

I understand that The Flock does NOT provide travel, medical, accident, or trip-cancellation insurance. I am solely responsible for obtaining adequate insurance for any Flock Month or activity I attend, and I confirm my insurance status on the pre-arrival form before each Flock Month. I am responsible for my own medical and evacuation costs.

6. Medical Treatment Authorization

In the event of an injury or illness during a Flock activity and if I am unable to consent, I authorize The Flock's representatives to seek emergency medical treatment on my behalf. I am responsible for all resulting costs. I understand The Flock is not obligated to provide or arrange medical care.

Emergency contact (name, relationship, phone) and optional medical/allergy disclosures are collected as required data fields on the pre-arrival form before each Flock Month — this is information gathering, not a re-acceptance of this Release.

7. Conduct and Removal

I agree to follow the Flock Code of Conduct and all local laws. I understand The Flock may remove me from any activity, without refund, if my conduct endangers others or violates its rules, and that I am responsible for my own costs if I am removed or choose to leave.

8. Governing Law and Severability

This Release is governed by the laws of the State of Wyoming. If any provision is held unenforceable, the remaining provisions stay in full force, and the unenforceable provision will be enforced to the greatest extent permitted by law. Disputes are resolved as set out in the Terms of Service.

9. Acknowledgment and Acceptance

I HAVE READ THIS LIABILITY WAIVER & RELEASE, FULLY UNDERSTAND ITS TERMS, UNDERSTAND THAT I AM GIVING UP SUBSTANTIAL RIGHTS BY ACCEPTING IT, AND ACCEPT IT FREELY AND VOLUNTARILY.

Acceptance is electronic and happens once, at membership checkout: a separate, unticked checkbox (with this full text linked) alongside the Membership Agreement checkbox, before payment. The Flock records my name, the waiver version, and the date/time of acceptance. This Release remains in force for all Flock activities throughout my membership, including renewals; I will only be asked to accept again if The Flock materially changes this Release (new version).
