Membership & Community Agreement

Including the Flock Code of Conduct

Entity: Grex Labs LLC, a Wyoming LLC, d/b/a The Flock Effective date: [set when posted] · Version: 2026-09-v2

This Membership & Community Agreement ("Agreement") governs your membership in The Flock, operated by Grex Labs LLC, d/b/a "The Flock". It works together with our Terms of Service, Privacy Policy, and Liability Waiver. By being accepted as a member, accepting this Agreement at checkout, and using your membership, you agree to this Agreement, including the Flock Code of Conduct in Section 5.

1. Becoming a Member

  • Membership is by application and invitation only and is granted at our sole and absolute discretion to keep the community small, vetted, and high-quality.
  • The vetting process may include an application, a screening interview (typically ~30 minutes), and identity or background checks. We may accept, waitlist, request a second review, or decline any applicant for any lawful reason.
  • You must provide accurate, complete information. False or misleading information may result in denial or revocation of membership and forfeiture of fees.
  • Membership is personal to you, non-transferable, and may not be shared.

2. What Membership Includes

Everyone holds the same level of membership, billed yearly through Stripe. Your price is your Lifetime Annual Rate — the annual rate in effect when you joined, as shown at checkout. It applies to each yearly renewal for as long as you remain continuously a member; it is a recurring yearly price, not a one-time fee, and it is not reserved if you leave (see Terms of Service §4).

Your membership fee pays for the Core Membership Services:

  • Membership in the vetted Flock community.
  • Access to the app.
  • Access to member community channels (including WhatsApp groups we administer).
  • The ability to join member group stays ("Flock Months") when we organize them — with no separate trip fee paid to us.

Discretionary extras. Anything beyond the Core Membership Services — city playbooks, local intelligence, destination vetting help, suggested housing, negotiated discount codes/rates ("Perches"), City Locals, community events, retreats — is offered at our sole discretion and may be added, changed, or discontinued at any time without notice or refund. We do not commit to any particular number, frequency, or destination of Flock Months in any term.

Important: We do NOT provide housing, coworking, flights, or experiences. We may suggest options and negotiate discounts from time to time; you book and contract directly with the provider. Discount codes are a convenience and are not guaranteed to work, remain available, or be honored.

3. How a Flock Month Works

  • Members propose destinations and register interest; the Flock Team decides, in its sole discretion, whether and when a proposed city and dates become a Flock Month, and may close a proposal that does not gather enough interest. As a member you can join a Flock Month at no additional fee to us.
  • We may help negotiate group rates and provide discount codes for coworking and housing as a convenience. Any resulting booking is a contract directly between you and that provider; we are not a party and do not guarantee price, availability, or quality.
  • We may provide a City Local, an event calendar, walking tours, welcome/farewell dinners, and similar activities. Events may be moved, changed, or cancelled, and we have no duty to deliver any fixed event. Participation is voluntary and at your own risk (see the Liability Waiver).
  • If a proposed Flock Month is not confirmed, or a confirmed one is cancelled, we are not responsible for any third-party costs you incurred (flights, housing, etc.). Because joining a Flock Month carries no separate fee, no trip refund from us is owed.

4. Member Responsibilities

  • Keep your profile, travel details, and contact information accurate and current.
  • Arrange your own flights, accommodation, insurance, visas, and health requirements, and comply with local laws.
  • Obtain and maintain comprehensive travel and medical insurance before any trip. We may require proof of insurance to join a Flock Month.
  • Make your own decisions about your safety, including which events, activities, roommates, and providers you choose.
  • Disclose, before booking or joining, any medical condition, disability, or need that may affect your participation in communal or group settings, so we can advise on suitability. We are not a medical or disability-travel provider and do not provide medical advice.

5. The Flock Code of Conduct

Our community depends on trust, kindness, and respect — for each other and for the places we visit. This Code is a material part of your membership. Violations may lead to warnings, suspension, or removal.

5.1 Within the community

  • Treat every member, guest, partner, and staff member with dignity and respect. No harassment, discrimination, bullying, hate speech, threats, intimidation, or violence — physical, verbal, or digital — of any kind.
  • No unwanted sexual attention or advances. Always seek clear, enthusiastic consent before any physical contact, and respect personal boundaries and privacy.
  • Respect privacy: do not share other members' personal information, location, photos, or messages without their permission.
  • No screenshots or screen recordings of member profiles, photos, or chats. Our app detects capture events; repeated capture may lock or remove your account.
  • No gossip, demeaning speech, or jokes at another person's expense. Communicate openly, honestly, and kindly; address the idea, not the person.
  • Handle shared costs fairly and promptly (e.g., splitting bills, settling group expenses). "Give more than you take."

5.2 While traveling

  • Assimilate, don't impose: research and respect local customs, traditions, and social norms.
  • Support local businesses; minimize environmental impact; ask permission before photographing individuals.
  • No reckless behavior and no drunk-driving. Follow all local laws; you are responsible for your own conduct and legal compliance.

5.3 Prohibited conduct (may lead to immediate removal)

  • Discrimination, harassment, sexual misconduct, or violence.
  • Illegal activity, or conduct that endangers others or the community's safety or reputation.
  • Using the community or member data for unsolicited marketing, recruiting, MLM, or solicitation without our written permission, or soliciting/poaching our partners or members for a competing service.
  • Retaliating against anyone who makes a good-faith report.

6. Reporting, Investigation, and Enforcement

  • Reporting: you may report conduct concerns to any staff member through any written channel (e.g., app, email, or our reporting form). We may receive and act on reports confidentially or anonymously and are not obligated to disclose a reporter's identity.
  • Investigation: we may investigate in our sole discretion using methods we consider appropriate. Our process is not a legal or judicial proceeding and is not subject to formal rules of evidence or due process. We may, as a courtesy, give the subject an opportunity to respond. Our determinations are final.
  • Interim measures: during or after an investigation, we may take protective measures — e.g., adjusting event participation, reassigning roommates, or limiting access to certain spaces or channels. These are not findings of wrongdoing and do not entitle you to a refund.
  • Enforcement: we generally operate on a "three strikes" basis (two warnings, then removal), but we reserve the right to remove any member immediately where the conduct warrants it. Removal means a ban from the community, chats, and events.

7. Health and Communal Living

Group travel and communal settings carry inherent risks, including exposure to communicable illness. You agree to follow applicable local public-health rules and to notify staff if you become ill. We may take reasonable measures to protect the community (such as asking an ill member to isolate); such measures are not a breach of this Agreement or a denial of services.

8. Community Recognition and Badges

We may operate a status/badge program recognizing participation. Badges are for community recognition only, have no cash value, and may change or be discontinued at any time.

9. Fees, Renewal, and Cancellation

Membership is billed annually and renews automatically for one-year terms at your locked rate unless cancelled. We send a renewal reminder approximately 30 days before each renewal (price, renewal date, how to cancel). You may cancel within 14 days of your initial purchase or of any renewal charge for a full refund of that charge, provided you have not attended or joined a Flock Month in that term; after that, the fee for that term is non-refundable and cancellation stops the next renewal, with access continuing through the end of the paid term. Cancellation is self-serve in the web Membership Area. If you leave and return, you re-apply and re-join at the then-current price. Full details are in the Terms of Service (Sections 4.1–4.2).

10. Suspension and Removal

We may suspend or permanently remove any member who violates this Agreement, the Code of Conduct, the Terms of Service, or applicable law, or whose conduct we reasonably believe harms the community or its members — including conduct occurring outside a Flock Month or event, or information received from third-party travel/nomad organizations about prior conduct. Where permitted by law, fees may be non-refundable upon removal for cause; re-admission after removal is case-by-case at our sole discretion.

11. Assumption of Risk and Releases

Participation in community travel, events, and activities involves inherent risks, and interpersonal conflict is an inherent risk of communal living. Your participation is subject to our separate Liability Waiver & Release, which you must agree to before joining a Flock Month or in-person event and which is incorporated here by reference.

12. Relationship to Other Documents; Governing Law

This Agreement is part of your overall contract with us, together with the Terms of Service, Privacy Policy, and Liability Waiver. If there is a conflict, the Terms of Service control unless a document states otherwise. This Agreement is governed by the laws of the State of Wyoming, and disputes are resolved as set out in the Terms of Service.

13. Acceptance

Acceptance is electronic ("clickwrap"): you accept this Agreement, including the Code of Conduct, by checking the acceptance box at membership checkout; the Liability Waiver & Release is accepted at the same checkout via its own separate checkbox. We record the version of each document you accepted and the date/time. After payment, you take the Flock Code pledge in the app, which serves as your acknowledgment of the Code of Conduct (versioned; re-taken only if the Code materially changes).
